Purpose. Exchange non-public information to evaluate signage program management, brokerage,
permitting, fabrication oversight, installation, maintenance, and related services ("Purpose").
Confidential Info. Non-public site lists, drawings, photos, bid tabs, pricing, vendor/fabricator/installer identities,
processes, schedules, property details, and credentials; excludes info that is (a) public through no breach; (b) already known
without duty; (c) independently developed; or (d) rightfully received from a third party.
Use & Care. Use only for the Purpose, protect with reasonable care, and share only with need-to-know personnel
under similar obligations. No scraping, reverse-engineering, or bypassing access controls.
Access & Security. Credentials are personal and may be revoked; notify promptly of suspected unauthorized access.
Return/Deletion. Upon request—or per the selection in this form—the receiving Party will return or delete materials,
except one archival copy may be retained if required by law/backup and remains protected.
No License/Obligation. No license or exclusivity; no obligation to proceed.
Term. Confidentiality lasts 3 years from each disclosure (trade secrets so long as they remain such).
Remedies. Injunctive relief available for breach; info provided "as is"; no indirect damages; direct damages capped at USD $50,000
(cap does not apply to willful misconduct or unauthorized use/disclosure).
Governing Law. California; venue in Orange County, CA.
Acceptance. By checking "I agree" and submitting, each Party agrees to this NDA as of the Effective Date below.

Yes, where required we coordinate structural and electrical engineering for sign structures, foundations, and attachments so the package meets local code.
Who Owns The Drawings?
Drawings produced under your program are typically usable for your project portfolio. Vendor shop drawings and proprietary details remain with the originating vendor unless otherwise agreed.
Do You Handle Landlord Criteria And Sign Programs?
Yes. We read and interpret sign criteria, align concepts before we draw, and submit for landlord review before you spend money on full permit sets.
Can You Help With Sign Criteria Negotiations?
We can point out operational and visibility issues in proposed criteria and provide practical alternatives. Final negotiations are between you, your counsel, and the landlord.
How Are Change Orders Managed?
We document the reason (scope, site condition, landlord, or code), provide pricing options where possible, and obtain written approval before releasing work.
What Happens If A City Or Landlord Declines A Design?
We propose compliant alternates, revise drawings, and resubmit. We also track reasons for denial so future locations do not repeat the same issues.
